Meta has struck a new โ€œFounder Alignment Agreementโ€ with chief executive Markโ€ฏZuckerberg to keep him in California, filing the deal on Wednesday. The pact gives the Facebook coโ€‘founder additional Meta shares to offset any loss he might face if the stateโ€™s proposed billionaire tax is approved in November. The agreement is designed to stop Zuckerberg from moving his primary residence out of the state.

The tax measure would levy a oneโ€‘time 5โ€ฏpercent charge on residents whose net worth exceeds $1โ€ฏbillion. With Zuckerbergโ€™s wealth estimated at more than $200โ€ฏbillion, the levy could cost him roughly $10โ€ฏbillion. His current effective California tax rate is under 1โ€ฏpercent, prompting him to consider selling his Palo Alto and Lake Tahoe homes and relocating. The prospect of a highโ€‘profile exit raised concerns among Meta employees and board members about the companyโ€™s future leadership.

Under the deal, Meta will issue a new class of stock, giving each existing shareholder an extra share. As one of the largest owners, Zuckerberg will receive these new shares regularly and be allowed to sell them quarterly for eight years, as long as he remains a California resident. The extra shares do not alter his voting power, but they provide a way to recoup any wealth lost to the tax. The board described the agreement as โ€œcritically importantโ€ for keeping Zuckerberg at the helm during a period of rapid change in the tech industry and the global economy, especially as artificialโ€‘intelligence investments accelerate.

If the tax passes, Zuckerberg could still face a hefty bill, but the share allocation softens the financial blow and signals Metaโ€™s willingness to protect its founder. The move also highlights the pressure California faces from its 225 resident billionaires, many of whom have seen fortunes swell in recent years. Observers will watch whether the deal deters other tech leaders from leaving the state and whether it influences the outcome of the tax referendum in November. The agreement underscores how corporate governance and public policy intersect when wealth and location become political flashpoints.
